1. Acceptance of Terms

By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree with any part of these Terms, you must not access or use the Platform.

You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Kayease Fintech is a technology platform that facilitates financial services including, but not limited to:

• Comparison and application for insurance products (health, life, motor, travel, etc.) from partner insurance companies.
• Comparison and application for loan products (personal, home, business, vehicle, education, etc.) from partner lending institutions.
• Agent and DSA (Direct Selling Agent) management portal for distribution of financial products.
• Lead management, customer relationship management, and analytics tools for registered agents.
• Educational content and tools to help users make informed financial decisions.

We act as an intermediary and facilitator. We are not an insurer, lender, or financial institution. All insurance policies are underwritten by the respective insurance companies, and all loans are disbursed by the respective lending institutions. The final terms, conditions, and approval of any financial product are at the sole discretion of the respective provider.

3. User Accounts

To access certain features, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and current.
• Keep your login credentials (password, OTP) confidential and not share them with any third party.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized access to or use of your account.

We reserve the right to suspend or terminate your account if we reasonably believe that the information provided is inaccurate, fraudulent, or if you violate these Terms.

4. User Obligations

By using the Platform, you agree that you will:

• Use the Platform only for lawful purposes and in accordance with these Terms.
• Provide accurate and truthful information in all applications, forms, and communications.
• Not impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Not use the Platform for any fraudulent, illegal, or unauthorized purpose.
• Not attempt to gain unauthorized access to any part of the Platform, other accounts, or computer systems.
• Not introduce viruses, malware, or other harmful technology.
• Not scrape, crawl, or use automated tools to extract data from the Platform without our written consent.
• Not interfere with or disrupt the integrity or performance of the Platform.
• Comply with all applicable laws and regulations, including KYC/AML requirements.

5. Intellectual Property

All content, features, and functionality on the Platform, including but not limited to text, graphics, logos, icons, images, audio, video, software, data compilations, and the design, selection, and arrangement thereof, are the exclusive property of Kayease Global Solution LLP (operating as Kayease Fintech) or its licensors and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes. You may not:

• Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, or otherwise exploit any content on the Platform.
• Use our trademarks, service marks, or trade names without our prior written consent.
• Decompile, reverse engineer, or disassemble any software on the Platform.
• Remove, alter, or obscure any copyright, trademark, or proprietary notices.

6. Third-Party Services and Links

The Platform may contain links to third-party websites, services, or products, including those of our insurance and lending partners. These links are provided for your convenience only. We do not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party services.

Your interactions with third-party service providers, including insurance companies and lending institutions, are solely between you and the respective provider. We are not a party to any agreement between you and a third-party provider and shall not be liable for any disputes arising from such relationships.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Platform and all services are provided on an "as is" and "as available" basis, without any warranties of any kind, express or implied.
• We do not guarantee the accuracy, completeness, or reliability of any content, information, or results obtained through the Platform.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform.
• Our total aggregate liability for any claims arising from or related to the Platform shall not exceed the amount paid by you (if any) for accessing the Platform in the 12 months preceding the claim.
• We are not liable for any loss or damage resulting from decisions made based on information available on the Platform.
• We are not responsible for delays, failures, or errors caused by circumstances beyond our reasonable control (force majeure).

You acknowledge that financial products carry inherent risks, and we do not provide financial, investment, tax, or legal advice. Always consult qualified professionals before making financial decisions.

8. Indemnification

You agree to indemnify, defend, and hold harmless Kayease Global Solution LLP (operating as Kayease Fintech), its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use or misuse of the Platform.
• Your violation of these Terms or any applicable law.
• Your violation of any rights of a third party.
• Any content or information you submit through the Platform.

9. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Platform:

• Amicable Resolution: The parties shall first attempt to resolve the dispute amicably through good-faith negotiations within 30 days of written notice.
• Mediation: If the dispute is not resolved through negotiations, the parties may agree to mediation before a mutually acceptable mediator.
• Arbitration: If mediation fails, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, and the seat of arbitration shall be Jaipur, Rajasthan, India.
• The language of arbitration proceedings shall be English.
• The arbitration award shall be final and binding on both parties.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions. Subject to the arbitration clause above, the courts of Jaipur, Rajasthan shall have exclusive jurisdiction over any legal proceedings arising out of or in connection with these Terms.

11. Termination

We may suspend or terminate your access to the Platform at our sole discretion, without notice, for any reason including but not limited to:

• Violation of these Terms.
• Fraudulent or illegal activity.
• Request by law enforcement or government agencies.
• Extended periods of inactivity.
• Discontinuation or material modification of the Platform.

Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitation of liability.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Effective Date" at the top of this page.
• Notify you via email or a prominent notice on our Platform.
• Provide a reasonable period for you to review the changes before they take effect.

Your continued use of the Platform after the changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.

13. Miscellaneous

• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kayease Global Solution LLP (operating as Kayease Fintech) regarding the use of the Platform.
• Assignment: We may assign or transfer these Terms without restriction. You may not assign or transfer your rights under these Terms without our prior written consent.
• Notices: Any notices under these Terms shall be sent to the email address associated with your account, or to sunny@kayease.com for notices to us.
